Terms of Service & Enterprise Agreement

Master terms of service, software licensing agreements, digital asset procurement policies, and billing governance for CodeziSoft Technologies Inc.

Welcome to CodeziSoft Technologies Inc. ("CodeziSoft", "we", "our", or "us"). These Terms of Service and Master Agreement constitute a legally binding contract between you (whether individually or on behalf of an enterprise entity) and CodeziSoft Technologies Inc. governing your access to and procurement of our digital products, custom software engineering builds, licensing systems, and consulting services via codezisoft.com.

1. Acceptance of Terms

By registering a client workspace, initiating an invoice settlement, downloading digital software assets, or contracting bespoke engineering services, you confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately terminate use of our storefront and client workspaces.

2. Software Engineering Services & Deliverables

  • Scope of Work: All custom design, architectural engineering, and system deployment services are governed by mutually approved written proposals, statements of work (SOW), or digital invoices issued through our platform.
  • Acceptance Period: Upon notification of milestone completion or deployment to client staging environments, clients have a designated review period (typically 7 to 14 business days) to submit revisions or bug tickets. Failure to submit formal revision requests within this timeframe constitutes formal acceptance of the deliverable.

3. Intellectual Property Rights & Ownership

  • Bespoke Client Deliverables: All proprietary source code, graphical assets, and bespoke deliverables engineered specifically for a client become the client's intellectual property only upon 100% full settlement of all related invoices and milestone balances.
  • Proprietary Base Frameworks: CodeziSoft retains all intellectual property rights to its pre-existing core engines, boilerplate libraries, architectural abstractions, and proprietary development scaffolding integrated into deliverables. Clients are granted an irrevocable, perpetual, non-exclusive license to utilize such embedded frameworks within their delivered product.

4. Digital Products & Software Licensing

For standalone digital items (plugins, extensions, application templates, scripts, and software kits) purchased directly from CodeziSoft storefronts or funnels:

  • License Grant: Purchase of a software tier grants a non-exclusive, non-transferable, revocable license to install, activate, and operate the digital asset strictly within the verified domain limits (activation nodes) designated by your license key.
  • Restrictions: You may not redistribute, sub-license, decompile, reverse-engineer, resell, or publicly host the raw uncompiled source files without explicit written consent from CodeziSoft.
  • License Termination: Unauthorized redistribution, public distribution of binary files, or tampering with licensing telemetry results in immediate, automated revocation of the activation hash without right of refund.

5. Invoicing, Rates & Payment Governance

  • Settlement Channels: Invoices are settled through integrated certified processors including Stripe, PayPal, Razorpay, CCAvenue, or verified corporate Bank Wire (SWIFT/SEPA).
  • Payment Terms: Invoices must be settled within the due date stated on the document (e.g., Immediate Receipt, Net 15, Net 30).
  • Grace Periods & Late Fees: Invoices remaining unsettled after the due date and subsequent grace buffer period may incur automated statutory late penalties (fixed fee, percentage charge, or daily prorated interest as configured in our billing ledger).
  • Currency & Taxes: Unless expressly stated otherwise, all rates are quoted in the designated invoice currency. Clients are responsible for any applicable local withholding taxes, VAT, or regional transactional charges.

6. Refund, Cancellation & Chargeback Policy

  • Digital Products & Assets: Due to the irrevocable nature of downloadable source code and signed digital binary assets, purchases of standalone digital products and activated licenses are strictly non-refundable once the file access link has been generated.
  • Custom Engineering Services: Work commenced on approved engineering sprints or accepted proposals is non-refundable. Cancellations prior to milestone commencement may be eligible for partial settlement reconciliation based solely on unspent engineering hours.
  • Chargebacks & Fraud: Disputing a legitimate charge through banking channels without prior consultation with our billing desk will result in an immediate suspension of all associated client workspaces, API endpoints, and license activations.

7. Confidentiality & Non-Disclosure (NDA)

Both parties agree to treat all business plans, source repositories, system credentials, and commercial strategies shared during project lifecycles as strictly confidential. Sensitive project builds flagged under our NDA Vault are protected under zero-trust authorization protocols and restricted only to verified personnel.

8. Warranties & Limitation of Liability

  • Software Warranty: All digital assets and software deployments are provided on an "as-is" and "as-available" basis without warranties of fitness for a specific commercial purpose, unless explicitly covered under an active enterprise Service Level Agreement (SLA).
  • Liability Cap: To the maximum extent permitted by applicable law, CodeziSoft Technologies Inc. shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, or business interruption). Our total cumulative liability arising out of any engagement shall not exceed the total fees paid by the client in the three (3) months preceding the incident.

9. Termination of Service

We reserve the right to suspend or terminate any client account, digital workspace, or active license key immediately, without prior notice, if you breach any material provision of these Terms of Service, fail to remedy outstanding financial balances, or engage in malicious security operations against our nodes.

10. Governing Law & Dispute Resolution

These terms shall be governed by, construed, and enforced in accordance with the laws governing corporate commercial transactions. Any disputes or controversies that cannot be resolved amicably via executive consultation shall be submitted to binding corporate arbitration.
